What this covers

What does a business licensing and registration service actually do?

Rationale Services takes ownership of the registrations your business needs in order to operate. We establish what is needed in each state and locality you actually operate in, prepare and submit it, keep one record of everything you hold, and bring each item back round before it lapses. You stop tracking it; we do.

The work is unglamorous and it is almost always the thing nobody owns. It sits between the owner, the bookkeeper and whoever set the business up originally, which is why it belongs with business support for the admin nobody owns. The result is a business holding an unknown number of registrations in an unknown number of places, with nobody who can say what is current. That is survivable right up until someone outside the business asks.

  • We establish what is needed in each state and locality you actually operate in
  • We prepare and submit it, and keep a record that it was done
  • One register of everything you hold, in one place you can see
  • Each item brought back round before it lapses, not after
  • Handled remotely end to end, with information coming in through secure file transfer

Working out what you need

What registrations does my business actually need?

That depends on your business, and Rationale Services establishes it for you rather than handing you a list. What is needed differs by state, differs by locality within a state, and differs by what your business does and how it operates. We work it out from your actual operations, write down the answer, and show you how we got there.

We deliberately do not publish a list. Any list short enough to put on a page would be wrong for most of the businesses reading it, and a wrong list is worse than none: it creates confidence in the gaps. The useful version is specific to you, dated, and kept up to date as the business changes.

How do you work out what we need?

Rationale Services starts with what your business actually does, not what it was set up to do. We go through your entities, your locations, where your people work from, where your customers are, what you sell and how, and what has changed since the business started. Then we establish what each of those facts means for you. Where people work from is also what drives payroll in every state your people work from.

The interview is where most of the value sits, because the things that create obligations are rarely the things owners think to mention. A single remote employee, a storage unit in another state, a second trade name on the invoices, a line of work added two years ago that nobody treated as a change — each of those can matter, and none of them tends to come up unless somebody asks directly.

How do I find out what registrations we already hold?

Most owners cannot say, which is why Rationale Services starts with an audit of what exists. We go through your files, your records, your correspondence and your entities, and build a single list of every registration we can find: what it is, which entity holds it, what it covers, where, and when it next comes up.

That list is usually the first time an owner sees the whole picture. It almost always turns up three things: items being paid for that the business no longer needs, items that lapsed without anyone noticing, and places the business now operates where nothing was ever put in place. All three are cheaper to fix once you can see them.

How it runs

How a registration is established and kept current

One party owns the list, the list is complete, and the dates are worked from in advance instead of being noticed in arrears.

  1. An audit of what already exists

We go through your files, records, correspondence and entities and build a single list of every registration we can find, and who holds it.

  2. A conversation about what the business actually does

Your entities, your locations, where your people work from, where your customers are, what you sell and how, and what has changed since the business started.

  3. Establishing what is needed, and how we got there

We work it out from your actual operations rather than from a list, write the answer down, date it, and show you the reasoning behind it.

  4. Preparing and submitting it

We prepare what each place needs and submit it ourselves, asking you only for the things that genuinely only you can supply.

  5. Recording it in one register

What it is, which entity holds it, what it covers, where, and when it comes round again — kept somewhere you can see it.

  6. Working each renewal ahead of time

We work ahead of each date so it is dealt with before it expires, and tell you what is coming and what we need from you in time to supply it.

  7. Revisiting as the business changes

A new hire, a new site, a new entity, a new line of work: the register is revisited rather than left until something surfaces on its own.

Renewals, lapses and the register

Who keeps track of renewals?

We do. Rationale Services keeps one register of every registration your business holds, with what each one covers and when it comes round again, and works ahead of each one so it is dealt with before it expires rather than after. You get told what is coming and what we need from you, in time to supply it.

There is no cleverness to this. It works because one party owns the list, the list is complete, and the dates are worked from in advance instead of being noticed in arrears. Almost every lapse we are called in to fix came from a business where the tracking lived in somebody's inbox or somebody's memory.

What actually happens if a registration lapses?

The paperwork is the smallest part of it. In practice the cost is the week or the month you lose when a customer, a lender, a landlord, a payment provider or a prospective partner asks you to produce proof you cannot produce, and the deal waits while you fix it. Rationale Services works to keep you out of that position.

Putting a lapse right takes longer than keeping something current, and it happens at the worst possible moment, because the reason you discovered it is that something important was already depending on it. Owners rarely find out from a quiet letter. They find out mid-transaction, from the other side.

Where a lapse has already happened, we establish what the position is for your business, deal with what we can, and tell you plainly where something falls outside what we take on.

What do I get at the end?

One register of every registration your business holds: what it is, which entity holds it, what it covers, where, and when it comes round again. Plus whatever was prepared and submitted during the engagement, a record that it was, and a standing arrangement so the next renewal is handled rather than discovered. Rationale Services keeps the register current as the business changes.

Owners tell us the register is the part that changes how the business runs, because it is the first time the answer to "are we clear to operate there?" takes a minute instead of a week.

What moves the picture

The changes worth telling us about

Each of these can change what your business needs in order to operate, and owners rarely flag them, because none of them feels like a change at the time.

  • A new state

We establish what the business needs in order to operate there, prepare and submit it, and add it to your register with its renewal. We also check what the expansion changes about what you already hold, because a new state often affects more than itself. Expansion rarely looks like expansion while it is happening: it looks like one remote hire, one contract, one customer somewhere new.

Business tax work across the year: A new state

  • A new location

A new site can need its own registrations, can affect the ones you already hold, or can mean something existing has to be updated rather than something new added. We establish which of those applies to you, prepare it, and record it against the new site. The same applies to moving a location, closing one, or starting to operate from somewhere you previously only stored things.

  • A new entity

A new entity is a new holder of registrations, not an extension of the old one. We establish what it needs in order to operate where it will operate, prepare it, and keep it as its own section of your register so the two are never confused. Where an entity was set up by someone else and nothing was done after the formation itself, that gap is common and we treat it as the starting point.

  • A new line of business

What a business needs in order to operate turns partly on what it does, so a genuinely new activity can change the position with no new location, no new state and no new entity. Owners rarely flag this one, because it feels internal: taking on installation as well as supply, servicing what you used to only sell, or adding a second trade name all count as a change worth checking.

Consultancy on expansion decisions before you make them: A new line of business

  • A change of owners or address

A change of owners, officers, address or business name has to be carried through consistently across everything you hold. We work from the register, so nothing is updated in one place and missed in four others. Address changes are the quiet killer: correspondence goes to a place nobody collects from, and the first sign of trouble arrives years later through a third party.

  • Closing a location or an entity

We work through what you hold for that location or entity and close it down deliberately rather than letting it go quiet. We establish what needs ending, end it, and record that it was ended. This is the part most often skipped, because by the time something is closing nobody wants to spend any more time on it. It is also the cheapest work on this page, and the most expensive thing to leave undone.

Working remotely, scope, and where we stop

Can this be handled remotely?

Yes. Rationale Services works with businesses across the United States and this work runs remotely end to end. Information comes in through secure file transfer, submissions are handled by us, and your register is kept somewhere you can see it rather than in a filing cabinet you have to visit. There is more on how we work with clients across the country.

What does this work cost?

It depends on the shape of your business, so Rationale Services scopes it after establishing what you actually hold and need. The factors that move it are how many entities you have, how many states and localities you operate in, how much of what you hold is already documented, and how much has to be rebuilt from scratch. How an engagement is scoped and run covers how that is agreed up front.

What does Rationale Services not do here?

We do not give legal advice, we do not choose or form your entity structure for you, and we do not act as your representative in front of any authority. Where a question is a legal question, Rationale Services says so and refers you to an attorney rather than answering it. The work we do is establishing, preparing, submitting and tracking.

Questions

Common questions about licenses and registration

Do you work with businesses anywhere in the country?

Yes. Rationale Services works with businesses across the United States and handles registrations wherever a client actually operates. The engagement runs remotely, so there is no requirement for you to be near us or for us to be near the places you operate in.

We have no idea what we hold. Is that a problem?

No, and it is the most common starting point. Rationale Services begins with an audit of what exists and builds the register from there, so the first deliverable is simply knowing. You are not asked to produce a list you do not have.

Can you handle this for several entities at once?

Yes. Rationale Services keeps one register covering every entity in a group, with each entity's registrations held separately inside it. Groups are where things most often get mixed up, because a registration held by one entity gets assumed to cover another.

Something has already lapsed. Can you fix it?

In most cases we can take it from where it stands, establish what your position actually is, and deal with it. We will tell you honestly what the consequences look like for your business and where something falls outside what we take on, in which case we refer it rather than attempting it.

Do you handle the renewals, or just tell us they are coming?

We handle them. Rationale Services works each renewal ahead of time, asks you for anything only you can supply, prepares and submits it, and confirms when it is done. Being told something is due is not much use on its own; the point of the service is that it is dealt with.

Do we still need an attorney?

For legal questions, yes, and we will tell you when you have one. Rationale Services handles the establishing, preparing, submitting and tracking of registrations. Choosing a structure, drafting agreements and anything that turns on a point of law belongs with an attorney, and we work alongside yours rather than around them.

Find out what you hold, and what is missing

Most owners cannot say what they hold. The first thing we hand over is simply knowing.
